Terms of the partner programme for gestorías (management-services agencies)

Holder: Weko (a brand with no operating company incorporated yet; the full identification details —tax ID, registered address and register entry— will be added to these terms once it exists). Contact: [email protected].

1. Who can take part

Gestorías (management-services agencies), consultancies and professionals who provide management services to small and medium-sized businesses, with a lawful business in the country where they are established and holding any professional authorisation that the law of the United States requires. Weko reviews every application and may reject it.

2. Referred customer

A business that takes out a paid Weko plan through your link or your partner code and was not a Weko customer before. The link stores the referral for 30 days; if the business clicks links from several partners, the last one counts. Once the business has signed up, the attribution no longer changes. The demo and the partner's own sign-ups (same holder, email or card) do not count.

3. Commission

  • 20 % of what Weko collects from the referred customer during their first 12 months of subscription, 10 % from month 13 to 24, and nothing after that.
  • It is calculated on the amount actually collected, excluding VAT or any equivalent indirect tax: if the customer pays for the year at a discount, on what they actually pay.
  • Credit top-ups and other usage charges do not earn commission.
  • Seniority counts from the customer's first payment. If they cancel and subscribe again, it does not start over.

4. The firm's account

Taking part in the programme does not include a free Weko account for the firm.

5. Payment

  • The commission accrues when Weko collects payment from the customer and is held for 60 days in case of refunds or chargebacks.
  • Every quarter, Weko pays out by bank transfer and in euros (EUR) the commissions that have already been released and approved by Weko, provided they add up to at least EUR 50. If they do not, they roll over to the following quarter. If Weko rejects a commission, it tells you the reason.
  • Payment is made against an invoice from the firm with its tax details, or by self-billing if the firm accepts it in its partner panel. Each party meets its own tax obligations under the applicable law. The partner provides Weko with their tax form and the tax details it asks for. The partner reports and pays the taxes due in their own country. Weko does not give tax advice.
  • If the customer obtains a refund, wins a chargeback or stops paying, the corresponding commission is cancelled. If it had already been paid, it is offset against the following ones.

6. Duration and termination

The programme has no minimum term. Either party may end it by giving 30 days' notice. Commissions accrued up to termination are paid in the next payout. From termination, referred customers no longer generate commission.

7. Transparency with your customer

If you earn commission for recommending Weko, you must tell your customer before recommending it. You may not present your recommendation as independent.

8. What is not allowed

  • Promising features or results that Weko does not offer.
  • Using the Weko brand in a misleading way or bidding on it in ads.
  • Sending unsolicited messages on behalf of Weko.
  • Referring yourself.

Non-compliance voids the affected commissions and may lead to removal from the programme.

9. Data protection

Each party complies, on its own account, with the applicable state data protection laws and, where it applies, the California Consumer Privacy Act (CCPA), as amended by the CPRA. The competent supervisory authority is the California Privacy Protection Agency (cppa.ca.gov) and, where relevant, the competent state authority. Weko does not receive data from the firm's customers except what they give it themselves when they sign up. If the firm accesses a customer's data within Weko, it does so on that customer's behalf.

10. Changes

Weko may change these terms by giving 30 days' notice by email. If you do not accept the new version, you may leave the programme before it takes effect. Changes do not affect commissions already accrued. Each version is published with its date.

11. Law and jurisdiction

These terms are governed by Spanish law, chosen by the parties (Article 3 of Regulation (EC) No 593/2008, Rome I), without prejudice to the mandatory rules of the United States. For any dispute, the courts of Barcelona, without prejudice to any rights that mandatory consumer law grants, where applicable, to anyone acting as a consumer, including the right to go to the courts of their place of residence. If the versions in different languages differ, the English version prevails.

12. Partner panel agreement

When you activate your partner account within Weko, you will also accept the programme agreement shown in the panel. For gestorías, if anything does not match, these terms prevail.
